These Terms of Use ("Terms") govern your access to and use of aukeoliving.com and any related Aukeo Living sites, portals, and services (collectively, the "Site"). By accessing the Site, you agree to these Terms. If you do not agree, do not use the Site.

Eligibility

The Site is intended for institutional investors, accredited investors, qualified purchasers, building owners, municipal partners, universities, healthcare systems, and other professional counterparties. You represent that you are accessing the Site in a professional capacity and have the legal authority to enter into these Terms.

Not an Offer of Securities

The Site does not constitute an offer to sell or a solicitation of an offer to buy any interest in any Aukeo fund or related entity. Fund interests are offered only through confidential offering documents to eligible investors and only in jurisdictions where such offering is permitted.

Intellectual Property

All content on the Site — including text, graphics, logos, images, video, audio, data compilations, and software — is the property of Aukeo Living or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may view and print reasonable portions of the Site for your personal, non-commercial reference. Any other use, including reproduction, republication, redistribution, or commercial exploitation, requires the prior written consent of Aukeo.

"Aukeo," "Aukeo Living," and related marks and logos are trademarks of Aukeo Living. All other trademarks are the property of their respective owners.

Permitted and Prohibited Uses

You may use the Site only for lawful purposes. You may not: (a) use the Site in any manner that violates applicable law; (b) attempt to gain unauthorized access to any portion of the Site, the LP Portal, or any related systems; (c) upload or transmit any virus, worm, malware, or other harmful code; (d) interfere with the operation of the Site or the servers or networks that host it; (e) use automated means, including scrapers, bots, or spiders, to access the Site without our prior written consent; or (f) misrepresent your identity or your affiliation with any person or entity.

LP Portal

Access to the Aukeo LP Portal is credentialed and limited to authorized Aukeo limited partners and their authorized representatives. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify Aukeo immediately of any unauthorized use or suspected security breach at [email protected]. LP Portal content is confidential and may not be reproduced, republished, or distributed outside your organization without Aukeo's prior written consent.

Third-Party Content and Links

The Site may include third-party content and links to third-party websites. Aukeo does not endorse, control, or accept responsibility for third-party content or the practices of third-party websites, and your use of such content or sites is at your own risk.

Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUKEO AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF AUKEO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify and hold harmless Aukeo and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your breach of these Terms or your misuse of the Site.

Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

Aukeo may modify these Terms from time to time. The "Last updated" date at the top of this page indicates the most recent revision. Your continued use of the Site following posting of revised Terms constitutes your acceptance of the changes.

Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and any Site-specific supplemental terms (including LP Portal terms of access), constitute the entire agreement between you and Aukeo with respect to the Site.
